Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and USDV Capital Holdings ("USDV," "we," "us") and govern your access to and use of the Real Estate CFO platform at realestatecfo.ai (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and account

You must be at least 18 years old and using the Service for business or commercial real estate investment purposes. The Service is not intended for personal, family, or household use.

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use.

2. What the Service does

Real Estate CFO is a portfolio intelligence and capital advisory workspace. It helps real estate operators organize their portfolio data and documents, surfaces analytics and recommendations, and lets them request capital options curated by USDV's capital advisory team.

USDV's role on the Service is primarily as a capital advisor and loan broker. When you initiate a capital application, we present your file to capital sources who make their own underwriting decisions. In some transactions, USDV or an affiliated fund may participate as a capital provider — directly or as a co-investor — and any such participation will be clearly identified on the relevant term sheet. 3. Acceptable use

You agree not to:

• Reverse engineer, scrape, or attempt to derive source code of the Service.
• Upload data you do not have the right to share, or knowingly false information.
• Use the Service to harm, harass, defraud, or impersonate another person.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service in violation of applicable law.

4. Your content

You retain ownership of the data, documents, and content you submit ("Your Content"). You grant USDV a limited, non-exclusive license to use Your Content to provide the Service, including processing it through our subprocessors and (with your express authorization) sharing it with lenders for capital applications you initiate.

5. Our content and IP

The Service — including software, design, branding, recommendations, analytics, and editorial content produced by USDV — is owned by USDV or its licensors and protected by intellectual property laws. We grant you a personal, non-transferable license to use the Service as intended.

6. Fees and changes

Some features of the Service may be free; others require a paid subscription. Pricing in effect at signup will be presented on the checkout page. We may change prices on prospective renewals with reasonable notice.

7. Disclaimers

The Service, including any analytics, recommendations, market data, and capital options surfaced through it, is provided for informational and decision-support purposes only. It does not constitute investment, legal, tax, or accounting advice. You are solely responsible for your business and capital decisions.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, USDV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CAPITAL APPLICATION WILL RESULT IN A FUNDED LOAN OR PARTICULAR TERMS.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, USDV WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO USDV FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

9. Indemnification

You agree to defend and indemnify USDV against claims arising from your misuse of the Service or violation of these Terms.

10. Termination

You can stop using the Service at any time and delete your account via account settings or by emailing us. We can suspend or terminate your account if you breach these Terms or if we discontinue the Service.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, unless otherwise required by applicable law.

12. Changes to these Terms

We may revise these Terms from time to time. The date at the top reflects the latest version. Material changes will be communicated in-app or by email.
